Apimeds' MindWave Inks Three Blockchain Deals, But Going Concern Warning Lingers

Apimeds Pharmaceuticals US, Inc. (NYSE American: APUS) disclosed that its wholly owned subsidiary MindWave Innovations Inc. USA signed three agreements between Sept. 24 and Oct. 4, 2026, to build and operate dedicated blockchain networks on its MindChain infrastructure for clients in climate finance, sports media, and insurance. The clients are Singapore-based AQUAE Holdings, which will use AQUAEChain for an environmental credit platform; New York-based Flash Sports & Media Holdings, which will use FlashChain for digital ticketing and media authentication; and Delaware-based BlockAssure, which will use AssureChain for insurance and reinsurance.

Under the agreements, MindWave will receive contracted fees or equity, plus allocations equal to 20% of the applicable credits or tokens. That structure could produce recurring revenue as the networks become operational, giving Apimeds a potential stream of income beyond its core pharmaceutical business. The deals also extend MindWave's blockchain infrastructure into three distinct industries, which may help validate its technology and attract additional clients. For a small company like Apimeds, such diversification could be significant, but it also carries execution risk because the networks are not yet operational and revenue depends on successful deployment and client adoption.

Apimeds also reiterated that its audited consolidated financial statements for 2025 included an explanatory paragraph from its independent auditor expressing substantial doubt about its ability to continue as a going concern. The disclosure was made pursuant to NYSE American requirements and does not amend the company's previous filings. That warning is a critical caveat for investors: while the new agreements suggest progress, the company's financial viability remains uncertain. The going concern doubt means that without additional financing or revenue, Apimeds may struggle to fund operations and fulfill its blockchain ambitions.

MindWave develops technology infrastructure and digital solutions for blockchain-enabled applications, data-driven platforms, and emerging commercial ecosystems. MindChain is designed to support transparent, traceable, and verifiable digital transactions, providing ledger capabilities for digital assets, registries, tokenized ecosystems, and decentralized services. The three agreements show that MindWave is applying its technology to real-world use cases, but the company must still demonstrate that it can deliver on these contracts and generate sustainable revenue.
