Edgewater Wireless Closes Private Placement With Strategic Investment From Silicon Catalyst Angels

Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing™ silicon solutions, has closed a private placement that includes a direct strategic investment from Silicon Catalyst Angels I, LLC (SCA). The investment marks a significant milestone for the company as it advances its next-generation Spectrum Slicing™ and PrismIQ™ platform toward prototype validation and commercial engagements.

The private placement, conducted in two tranches, raised aggregate gross proceeds of $717,332.70 through the issuance of 11,955,545 units. Each unit consists of one common share and one warrant, exercisable at $0.09 per share for two years. The second tranche, which closed with SCA's participation, involved the issuance of 4,799,666 units at $0.06 per unit for gross proceeds of $287,979.96. Edgewater Chairman Brian Imrie also increased his investment, contributing $96,000 in this tranche, demonstrating strong insider confidence.

SCA's investment is particularly strategic given the group's focus on semiconductor startups. Established in 2019, SCA provides seed and Series A funding to Silicon Catalyst Portfolio Companies, leveraging the expertise of its members—experienced semiconductor executives, technologists, and investors. This aligns with Edgewater's relationship with Silicon Catalyst, which began in November 2024 when Edgewater was selected as a portfolio company. Since then, Edgewater has gained access to over 500 industry experts and several million dollars' worth of in-kind design, fabrication, and commercialization resources, as well as welcomed Silicon Catalyst COO Nick Kepler as a Board Observer.

The funding will accelerate Edgewater's engineering development and prototype validation for its PrismIQ™ platform, targeting high-reliability Wi-Fi and emerging high-performance applications. With Wi-Fi 7 and beyond offering very wide channels, often in congested spectrum, Edgewater's Spectrum Slicing™ technology is timely, addressing congestion and improving quality of service.

The company expects to achieve significant engineering and ecosystem milestones in the coming period, with an initial product release planned for the first half of 2027. The net proceeds from the offering will be used for semiconductor design, engineering, and product development, as well as general working capital.

Edgewater's patented Spectrum Slicing™ technology enables multiple concurrent channels in a single band, delivering up to 10x performance improvement and 50% lower latency, even for legacy devices. With 26 patents granted and 3 AI-related patents pending, the company is well-positioned to disrupt the Wi-Fi market.

The closing of the second tranche remains subject to final acceptance by the TSX Venture Exchange. Securities issued are subject to a statutory hold period until January 9, 2027. Imrie's participation is considered a related party transaction, but the company expects to rely on exemptions from formal valuation and minority shareholder approval requirements as the fair market value does not exceed 25% of the company's market capitalization.
