The agreement facilitates the immediate exercise of existing warrants to purchase up to 5,697,628 shares of common stock at an exercise price of $0.64 per share, generating gross cash proceeds of approximately $3.6 million before fees and expenses. The company intends to use the net proceeds for working capital and general corporate purposes.
In consideration for the immediate exercise, the investor will receive new unregistered warrants to purchase up to 11,395,256 shares of common stock. These new warrants carry an exercise price of $0.64, become exercisable upon shareholder approval, and expire five years thereafter. The transaction is expected to close on or about August 27, 2026, subject to customary conditions.
This strategic move provides GeoVax with essential capital to advance its pipeline, particularly its lead program GEO-MVA, a Modified Vaccinia Ankara (MVA)-based vaccine targeting mpox and smallpox. The company plans to initiate a pivotal Phase 3 clinical trial in the second half of 2026, addressing critical global needs for expanded orthopoxvirus vaccine supply and biodefense preparedness. The funding also supports the development of Gedeptin®, a gene-directed enzyme prodrug therapy (GDEPT) designed to enhance immune checkpoint inhibitor activity, which has completed a Phase 1/2 trial in head and neck cancer and is advancing into combination strategies.
The capital infusion is timely as GeoVax prepares for late-stage trials and seeks to strengthen its financial position. The warrant inducement structure allows the company to raise funds without immediately diluting existing shareholders, as the new warrants are exercisable only after shareholder approval and are tied to future milestones.
