Nano-X Imaging Ltd. (NASDAQ: NNOX) has entered into a securities purchase agreement with a single long-term institutional investor for a registered direct offering expected to generate approximately $8 million in gross proceeds before fees and expenses. The financing comprises the sale of 8 million ordinary shares, or prefunded warrants in lieu thereof, along with warrants to purchase up to an additional 8 million ordinary shares at a combined purchase price of $1.00 per share and accompanying warrant. The warrants will have an exercise price of $1.15, become exercisable six months after issuance, and expire five years after closing.
The offering is anticipated to close on or about Aug. 7, 2026, subject to customary closing conditions. Nano-X stated that it intends to use the net proceeds for working capital and general corporate purposes. A.G.P./Alliance Global Partners is serving as the sole placement agent for the transaction.
