(NYSE American: NNVC) announced it has entered into a securities purchase agreement with a single fundamental institutional investor for a registered direct offering expected to generate approximately $3.8 million in gross proceeds. The offering includes the sale of 2,516,339 common shares or pre-funded warrants, along with warrants to purchase an equal number of common shares at an exercise price of $1.75 per share, expiring five and a half years after issuance. D. Boral Capital LLC is serving as exclusive placement agent. The offering is expected to close on or about July 27, 2026, subject to customary conditions.

The funding is a critical step for NanoViricides as it advances its lead drug candidate, NV-387, a broad-spectrum antiviral designed to treat respiratory syncytial virus (RSV), COVID-19, Long COVID, influenza, and other respiratory viral infections, as well as MPOX/smallpox and measles. The company is currently focused on moving NV-387 into Phase II human clinical trials. The capital infusion will support these efforts, including preclinical and clinical development activities.

NanoViricides specializes in creating nanomaterial-based antiviral therapies. Its proprietary nanoviricide technology, licensed from TheraCour Pharma, Inc., involves designing polymeric micelles that mimic host cell receptors to trap and neutralize viruses. The company holds exclusive, sub-licensable field licenses for multiple viral indications, including HIV, hepatitis B and C, rabies, herpes, influenza, dengue, Ebola, and certain coronaviruses.

The offering underscores investor confidence in NanoViricides' approach and its potential to address unmet medical needs in antiviral therapy.
