Naturally Amish, operating under Simulated Environment Concepts, Inc. (OTC: SMEV), has taken a significant step toward vertical integration by signing a binding Letter of Intent (LOI) and placing a $25,000 deposit to acquire a fully operational USDA-inspected livestock slaughter and meat processing facility in the Midwest. The facility's strategic location near the company's network of Amish farms in Indiana and Ohio is expected to enhance its farm-to-table platform, connecting livestock from Amish communities directly to consumers, restaurants, and grocery stores.
The acquisition is projected to immediately add approximately $2 million or more in existing annual revenue to the Naturally Amish platform. Management believes that planned expansions in processing, Direct-to-Consumer sales, and restaurant and grocery distribution could generate an additional $3 million in revenue during the first full year of operations following the acquisition. These projections are based on current assumptions and are subject to execution, market conditions, and the completion of the transaction.
The facility provides year-round slaughter and processing services for cattle, hogs, lambs, and goats, including custom processing for local farmers and USDA-inspected processing for commercial retail and wholesale markets. Owning this processing capacity would give Naturally Amish greater control over schedules, quality, product development, distribution, and margins, while reducing reliance on third-party processors. The location also supports efforts to secure additional cattle processing and supply relationships throughout the Midwest.
Noah Wagler, CEO of Naturally Amish and Simulated Environment Concepts, Inc., emphasized the importance of processing: "Processing is one of the most important links between the farmer and the consumer. Acquiring a USDA-inspected facility near our Indiana and Ohio farm network would give Naturally Amish greater control over our supply chain while helping us move products directly from Amish farms into homes, restaurants and grocery stores." He added that in the current environment of high beef prices and supply chain uncertainty, vertical integration could provide significant competitive advantages.
The property offers room for expansion, including increased cattle processing capacity, a second production line, a standalone smokehouse, additional refrigeration and freezer space, and expanded packaging capabilities. The facility also has three-phase electrical service, recent refrigeration upgrades, and wastewater discharge permitting, which management believes can support future growth. The company is evaluating the introduction of proprietary and patented technologies that might improve efficiency and product quality, subject to testing and regulatory approval.
This acquisition aligns with Naturally Amish's strategy to control more of the agricultural value chain, from livestock production to final sales. The facility would support multiple revenue channels, including Direct-to-Consumer beef sales, restaurant and foodservice distribution, grocery and private-label production, and USDA processing services for other producers. By owning processing infrastructure, Naturally Amish aims to strengthen its branded beef business and create additional value for participating Amish farmers.
The transaction is subject to customary due diligence, definitive agreements, financing, regulatory review, and verification of USDA permits.
