Nightfood Holdings Completes 1-for-150 Reverse Stock Split to Support Nasdaq Uplisting

Nightfood Holdings Inc., doing business as TechForce Robotics, has completed a 1-for-150 reverse stock split, a move aimed at increasing the company’s per-share trading price and supporting its bid to uplist to the Nasdaq Capital Market. The split took effect Oct. 20, 2026, reducing outstanding common shares from approximately 543.9 million to 3.6 million, according to the announcement from Nightfood Holdings (OTCQB: NGTF).

The reverse split applies proportionately to all shareholders, with fractional shares rounded up to the next whole share, and does not change the number of authorized shares. Shares began trading on a split-adjusted basis under the temporary symbol NGTFD on Oct. 20 and will revert to NGTF after 20 trading days. The company said the primary purpose of the split is to lift the stock’s trading price to help satisfy initial listing standards for the Nasdaq Capital Market.

Nightfood has submitted a Nasdaq listing application and is working to meet applicable standards related to share price, public float, liquidity, shareholder distribution and corporate governance. CEO Jimmy Chan described the split as another milestone in the company’s uplisting process. That process remains subject to Nasdaq review, satisfaction of all applicable requirements and final approval.

The reverse split matters because it addresses one of the most visible hurdles in the uplisting process: the minimum bid price requirement. A higher per-share price can help a company demonstrate compliance with exchange listing rules, though it is not sufficient on its own. Nasdaq also evaluates factors such as public float, liquidity, shareholder distribution and corporate governance, all of which Nightfood said it is working to satisfy. Investors should note that a reverse split does not change the underlying value of a shareholder’s stake; it simply consolidates shares. The company’s ability to complete the uplisting will depend on meeting all listing requirements and receiving final approval.
