Noble Mineral Exploration Inc. (TSXV: NOB) (OTCQB: NLPXF) has entered into an agreement to acquire the North Bradshaw Property from Gravel Ridge Resources Ltd. and 1544230 Ontario Inc., a move that expands its footprint in the prolific Abitibi Greenstone Belt of Northern Ontario. The property is contiguous to Gowest Gold Ltd.'s Bradshaw Gold Property, historically known as the Frankfield East Deposit, which has a pre-feasibility study identifying inferred and indicated gold resources. This acquisition positions Noble to capitalize on the region's significant gold potential.
The purchase price includes $73,000 in cash payable over three years, with $10,000 due on signing, $15,000 on the first anniversary, $18,000 on the second, and $30,000 on the third, along with the issuance of 600,000 common shares of Noble. Additionally, the vendors will receive a 1.5% net smelter returns royalty, with Noble holding a right to buy back one-third of the royalty (0.5%) for $500,000. The transaction is subject to board and TSX Venture Exchange approvals.
The North Bradshaw Property lies within the Abitibi Greenstone Belt, one of Canada's premier Archean gold-producing districts. Geological similarities to the Gowest deposit suggest strong potential for gold mineralization. The deposit is hosted in mafic volcanic rocks, ultramafic units, and strongly altered shear zones, with gold occurring as disseminated pyrite and fine free gold within a broad, altered structural zone. Previous exploration reported excellent continuity of the orebody, with higher-grade gold concentrated along shear zone margins.
Noble's CEO, H. Vance White, expressed enthusiasm: "We are pleased to be proceeding with the purchase of prospective mining claims in Ontario. Noble believes these projects offer significant potential for new discoveries and continued exploration success." The company plans to integrate the North Bradshaw Property into its exploration portfolio, which already includes the Holdsworth gold property in Wawa, Ontario, and extensive holdings in the Timmins-Cochrane areas.
In addition to the acquisition, Noble provided final information on its recently completed plan of arrangement, which took effect on May 27, 2026. Under the arrangement, shareholders exchanged each pre-arrangement common share for one new common share of Noble and a pro rata portion of 9,000,000 common shares of Homeland Nickel Inc., at an exchange ratio of approximately 0.034060787614 Homeland shares per Old Noble share. No fractional shares were issued, and the fair market value of Homeland shares was set at $0.39, treated as a return of capital. Shareholders are advised to seek independent tax advice, as tax treatment varies by individual circumstances.
This acquisition and the arrangement details underscore Noble's strategic focus on advancing exploration in Ontario's gold-rich regions. The North Bradshaw property's proximity to an established gold deposit enhances its exploration upside, while the arrangement provides clarity for shareholders regarding their post-completion holdings. Noble continues to hold a diverse portfolio of mineral rights across Ontario, Quebec, and Newfoundland, including the ~18,000-hectare Project 81 in Timmins-Cochrane, which hosts multiple drill-ready targets.
