Tonix Pharmaceuticals Secures $20 Million Registered Direct Offering with Point72 to Fund Commercialization and Pipeline Development

Tonix Pharmaceuticals Holding Corp. (NASDAQ: TNXP) has entered into a securities purchase agreement with Point72 for a registered direct offering expected to generate gross proceeds of approximately $20 million. The offering includes 615,025 shares of common stock at $16.26 per share, or pre-funded warrants to purchase up to an aggregate of 615,025 shares at $16.259 per warrant. The transaction is anticipated to close on or about December 30, 2025, subject to customary closing conditions, with net proceeds allocated to fund the commercialization of marketed products, development of the company’s product pipeline, and general working capital and corporate purposes.

Tonix is a fully integrated biotechnology company with FDA-approved products, including TONMYA (TNX-102 SL), a first-in-class non-opioid analgesic for fibromyalgia, and two acute migraine treatments: Zembrace SymTouch and Tosymra. The company’s development portfolio spans central nervous system disorders, immunology, immuno-oncology, rare disease, and infectious disease. Notable pipeline candidates include TNX-102 SL for acute stress disorder and major depressive disorder, TNX-1500 (a monoclonal antibody targeting CD40L for transplant rejection and autoimmune diseases), TNX-2900 for Prader-Willi syndrome, TNX-801 for mpox and smallpox, TNX-4800 for Lyme disease prevention, and TNX-4200, a broad-spectrum antiviral funded by the U.S. Department of Defense.

The offering is being conducted with Point72, a prominent investment firm, signaling confidence in Tonix’s strategic direction. TD Cowen is acting as sole placement agent, with A.G.P./Alliance Global Partners serving as financial advisor. This capital infusion comes at a critical time as Tonix prepares to launch TONMYA, which received FDA approval in 2024 and represents the first new prescription medicine for fibromyalgia in over 15 years. The company also plans to initiate a potential pivotal Phase 2 study for TNX-2900 in 2026.

This financing underscores Tonix’s commitment to advancing its diverse pipeline while strengthening its commercial footprint. The company’s ability to secure funding from a high-profile investor like Point72 highlights the potential value of its approved products and investigational therapies. With a focus on unmet medical needs across pain management, neurology, immunology, and infectious diseases, Tonix is positioned to address significant market opportunities. The proceeds from this offering will be instrumental in driving near-term commercialization efforts and supporting the clinical development of late-stage candidates, potentially bringing new treatment options to patients.
