Uniserve Announces Delay in Filing Business Acquisition Report for Megawire Transaction

Uniserve Communications Corporation (TSXV: USS), a Canadian provider of managed IT, ISP, cloud, and data centre services, has announced that it will not meet the regulatory deadline for filing its business acquisition report (BAR) and associated financial statements related to its acquisition of Megawire Inc. The company cited the need for additional time to prepare audited financial statements as the primary reason for the delay.

The BAR is required under National Instrument 51-102 – Continuous Disclosure Obligations (NI 51-102) and must be filed within 75 days of the acquisition. Uniserve had previously announced the acquisition of all business, assets, and undertaking of Megawire Inc. in a news release dated December 23, 2025. However, because Megawire, along with related entities Brimax Financial Services Inc. and Waterloo Wireless Inc., are private companies that have not previously prepared audited financial statements, Uniserve requires additional time to complete the necessary audits.

Uniserve intends to work diligently with its selected auditor to prepare the required financial statements and complete the audit. The company expects to make the required filings by no later than June 30, 2026. In the interim, Uniserve has imposed a management trading blackout pending the filing of the BAR and related documents. The company confirms that it is current in all other continuous disclosure filings.

Despite the delay, Uniserve remains optimistic about the acquisition. The company believes the transaction represents an important step in expanding its capabilities and geographic reach in delivering managed IT, connectivity, and digital infrastructure solutions across Canada. The acquisition of Megawire is expected to strengthen Uniserve's presence in key markets.
