The acquisition agreement includes a built-in Valuation Adjustment Mechanism triggered if the annual revenue of the acquired business exceeds $1.5 million—a threshold that was surpassed in 2025. However, due to market factors beyond the company's control, the average closing price of common shares has remained below $0.001 per share over the past month, significantly below the $0.005 valuation at acquisition. As a result, the Valuation Adjustment Mechanism calls for issuance of additional shares to the seller at a price that may not be in the best interests of the company.
The company is currently engaged in active discussions with the owner of the acquired business regarding a potential amendment to the acquisition agreement. However, there can be no assurance that such an amendment will be reached.
